SaaS Subscription Terms

These SaaS Subscription Terms apply to CodifyAI's managed Odoo hosting and SaaS services. By subscribing, you agree to these terms. Please read them before purchasing a subscription.
1. Service Description
CodifyAI provides managed Odoo Community-based SaaS environments. Depending on the plan purchased, the service may include:
- A hosted Odoo Community instance on EU-based infrastructure
- Pre-installed CodifyAI modules and configuration
- Automated daily backups
- Security and software updates for the Odoo environment
- Technical support as defined per plan
The exact features included are defined on the plan's product page or in a written agreement.
2. Tenant Provisioning
When a subscription is activated:
- A separate Odoo database is created specifically for your organisation
- A unique URL or subdomain may be assigned to your environment
- An administrator account is created and credentials are provided to you
- Your environment is isolated from other customers' environments
You are responsible for all activity within your tenant environment, including the actions of your users.
3. Customer Responsibilities
As a SaaS customer, you are responsible for:
- Using the service lawfully and in compliance with all applicable laws and regulations
- Maintaining accurate billing and account information
- Managing user accounts, permissions, and access within your tenant
- Securing your administrator credentials and ensuring they are not shared inappropriately
- Ensuring you have the legal right to process any personal data entered into the system
- Compliance with our Acceptable Use Policy
4. Billing and Subscriptions
- Billing periods: Monthly or annual as chosen at purchase. Annual plans may be offered at a discount.
- Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- Failed payments: If a payment fails, we will contact you to resolve the issue. Continued non-payment may result in service suspension after a grace period, and account termination after an extended period. Contact us promptly if you have a billing issue.
- Taxes: Prices are shown exclusive of VAT unless stated otherwise. Applicable VAT will be added at checkout based on your location and VAT registration status.
- Price changes: We will give reasonable advance notice of any price changes. Continued use after the effective date of a price change constitutes acceptance.
5. Cancellation
- You may cancel your subscription at any time via the customer portal or by contacting [email protected].
- Cancellation stops future billing. The service remains active until the end of the current paid period.
- No refund of the current billing period is provided by default. See our Refund and Cancellation Policy for cases where refunds may apply.
6. Data After Cancellation
- After cancellation, your tenant environment typically remains accessible for a limited period (approximately 30 days) during which you can export your data.
- We will provide reasonable advance notice before data is deleted.
- After the retention period, your environment and associated data may be permanently deleted.
- Data export in standard formats (database dump, CSV) is available on request before deletion.
- CodifyAI is not liable for data loss after the retention period if you have not exported your data.
7. Backups
- Automated backups of tenant databases are performed daily.
- Backups are retained for a defined period as stated on your plan page.
- Backup restoration may be possible upon request. Restoration for errors caused by your own users may incur a service cost.
- CodifyAI does not guarantee zero data loss. Backups are a best-efforts service. Critical data should also be exported by you.
8. Availability
CodifyAI aims to provide reliable and available service. However, we do not guarantee uninterrupted availability unless a separate Service Level Agreement (SLA) is agreed in writing. Planned maintenance will be communicated with advance notice where possible. Unplanned outages will be addressed as promptly as possible.
9. Support
Support scope is defined per plan. Unless otherwise stated:
- Standard plans: email support with best-efforts response
- Support covers: Odoo environment availability, CodifyAI module issues, and basic configuration questions
- Support does not cover: your business processes, third-party modules not supplied by CodifyAI, or data entry/import assistance unless contracted
10. Data Processing
When you use CodifyAI SaaS, CodifyAI acts as a data processor for personal data stored in your tenant database. You, as the customer, are the data controller for that data. A Data Processing Agreement (DPA) is required under GDPR Article 28. See our Data Processing Information page for details.
11. Acceptable Use
Use of the SaaS platform is subject to our Acceptable Use Policy. Violation may result in suspension or termination of service.
12. Suspension and Termination
- CodifyAI may suspend or terminate a subscription for non-payment, violation of the Acceptable Use Policy, or other material breach.
- In serious cases (e.g., illegal activity, security threat), suspension may occur without prior notice.
- You may terminate by cancelling your subscription. Termination does not release you from outstanding payment obligations.
13. Liability
To the maximum extent permitted by applicable law, CodifyAI's total liability for claims arising from or related to the SaaS subscription is limited to the subscription fees paid in the 12 months preceding the claim. CodifyAI is not liable for indirect, consequential, or incidental damages, loss of data (beyond backup recovery obligations), or loss of profits. This limitation does not apply to liability arising from fraud or wilful misconduct. Nothing in these terms limits rights that cannot legally be excluded under applicable mandatory law.
14. Odoo Independence Disclaimer
CodifyAI is an independent provider of Odoo Community-based services. CodifyAI is not affiliated with, endorsed by, sponsored by, or officially connected with Odoo S.A. Odoo® is a registered trademark of Odoo S.A. CodifyAI does not sell Odoo Enterprise licences unless explicitly stated and legally authorised.
15. Governing Law
These terms are governed by Romanian law, unless a separate written agreement or applicable mandatory law provides otherwise. Disputes shall be subject to the jurisdiction of Romanian courts, unless applicable consumer protection rules provide otherwise.
